Offers foundational knowledge needed to understand primary corporate governance issues. Covers the election, composition, and operation of the board of directors, addressing their role and fiduciary responsibilities. Examination of the board’s relationship with management, along with issues related to corporate culture, the board’s role during important transitional times of the company, how boards operate when they are doing their job well, and an analysis of the reasons why boards fail to perform effectively. Discussion of several important issues facing boards today including maintaining a healthy corporate culture; addressing environmental and social concerns; and balancing ethical, environmental, and profitability concerns.
