Topics include deal terms and purchase structures; appraisals, escrow and title, due diligence; architectural and engineering management (design development, construction documents, value engineering); capital stack and waterfalls mechanics/promote structures; debt guarantees, deed of trust; partnership/deal structures, limited/general partner roles, fundraising; contracts (clawbacks, time and materials, guaranteed maximum price, liquidated damages, litigation); scheduling; architect’s supplemental instructions, requests for information, change orders; accounting; construction draws, reporting; insurance (liability, builder’s risk); marketing; certificate of occupancy; property management.
